The Terms and Conditions ("Terms") describes the terms and conditions on which Filebox.ro ( "we" or "our company") offer services to you ("Customer", "Visitor", "User"). By registering for Filebox.ro and using Filebox.ro services, User agrees to be bound with the Terms and Conditions. Filebox also engages itself to be bound to the Terms and Conditions as stated below.

1.Eligibility for Filebox.ro services

Our Services are available only to individuals and business entities (including but not limited to sole proprietorships) in good legal standing that can form legally binding contracts under applicable law.. Customer hereby represents and warrants that it is duly licensed to do business and is in good legal standing in the jurisdictions in which it does business (during the term of this Agreement), and that the person agreeing to this Agreement for Customer is at least eighteen years of age and otherwise capable of and authorized to enter binding contracts for Customer.

2. Filebox.ro services

Subject to the terms and conditions of this Agreement, Filebox.ro makes certain Services available to Customer. For the purposes of this Agreement, "User" means the individual or business entity that is using the Services occasional or regular as a registered user on the website, including employees and agents if the User is a business entity. Filebox.ro "Services" means those electronic or interactive services offered by Filebox.ro. Filebox.ro operators reserves the right to change or discontinue any of the Services at any time, with or without notice.

3. Ownership

The User acknowledges that all materials (except those uploaded by users) provided on this Web site, including but not limited to information, documents, products, logos, graphics, sounds, gui, software, and services (collectively "Materials"), are provided either by Filebox.ro or by their respective third party authors, developers and vendors (collectively "Third Party Providers") and the underlying intellectual property rights are owned by Filebox.ro and/or its Third Party Providers. Elements of the Web site are protected by trade dress and other laws and may not be copied or imitated in whole or in part. Filebox.ro, the Filebox logo and other Filebox products referenced herein are trademarks of Filebox.ro, and may be registered in certain jurisdictions. All other product names, company names, marks, logos, and symbols may be the trademarks of their respective owners.

4. Customer Information

Customer represents and warrants that the information it provides in Filebox (through forms, e-mail messages or any other means) is true, accurate, current and complete. Customer agrees to maintain and update this information to ensure that it is true, accurate, current and complete. If, at any time, any information provided by Customer is untrue, inaccurate, not current or incomplete, Filebox will have the right to terminate Customer's account on filebox.ro or to totally limit the access to the Filebox website, and to terminate this Agreement.

5. Customer Account

5.1 Authorized Users
Customer may designate persons to act as its agents to use the Services, provided that each designated person has the legal capacity to enter into binding contracts for Customer as stated in Art. 1. Furthermore, Customer represents and warrants that each person who will use the Filebox services under Customer's account is authorized by the Customer and the Customer takes full responsibility for the actions of that person under Customer's account while using Filebox services.

5.2 Responsibility for Access
Customer is solely responsible and liable for any and all access to and use of the Services through private data owned solely by the Customer (user name, password, access to Customer's e-mail) by any Authorized User and/or User ID registered under Customer's account, no matter if this access is authorized or not by the Customer, unless such access to or use of the Services is the direct result solely of the gross negligence of Filebox. If personal data is revealed to other persons, it is Customer's solely responsibility and the Customer is obliged to keep the personal data secret and not reveal it to unauthorized persons.

5.3 Responsibility for User IDs and Passwords
Customer is solely responsible for maintaining the confidentiality of Customer access information (i.e. account ID's and passwords) and is responsible for any unfortunate event that might occur by revealing this information directly to unauthorized persons with or without Customer's consent, by Customer's negligence.

5.4 Notification of Unauthorized Use
Customer will immediately notify Filebox if Customer notices any activity indicating that Customer's account or data is being used without authorization (username, password, e-mail, name or any other information used to the unique identification of the Customer in relation with Filebox), including but not limited to: orders made in Customer's behalf, requests in Customer's behalf, prize claiming for different Filebox competitions etc.

6. Customer Data

Customer has sole responsibility and liability for the data its stores on Filebox servers. Customer controls its data through tools at his disposal provided by Filebox, such as links, user interfaces a.s.o. Filebox encourages Customer to archive its data regularly and frequently on Filebox servers and on other storage solutions other than Filebox. Customer bears full responsibility for the total loss or imposibility of accessing the data stored on Filebox servers. Customer agrees to maintain its data in compliance with its legal obligations. Filebox will delete Customer data (files) upon termination of the relationship between the Customer and Filebox because of but not limited to: violation of Terms of Use of the Filebox website ( Terms and Conditions), reaching the end of a prepaid period for a payed service. Filebox is not responsible for the loss of any data (file) deleted upon termination of this Agreement, and the archiving of this data is solely Costomer's obligation. Filebox does not offer the posibility of archiving the data except the means specified in this Terms and Conditions. When deleting a file, this file is totally and permanently eliminated from Filebox system (servers) with no other posibility to recover the file.

6.1 Special Circumstances
Filebox will provide access to unique Customer data (username, password a.s.o.) to any person who provides Filebox with a notarized letter signed by an officer of Customer. Customer expressly and irrevocably agrees that Filebox may rely on such a letter to grant access to the data to a different person. In no event will Filebox be liable to Customer or any third party for Filebox's reliance on such letter or such apparent authority.

7. Acceptable Use

The User agrees to not use Filebox's Service to:
a. upload, post, e-mail, transmit or otherwise make available any Content that spreads messages of terror or depicts torture or death-gui; if serious enough, the content will be reported to the appropriate legal authority and/or the member's ISP will be contacted ;
b. upload, post, e-mail, transmit or otherwise make available any Content that harm minors in any way, this includes but is not limited to any form of child pornography; if serious enough, the content will be reported to the appropriate legal authority and/or the member's ISP will be contacted;
c. upload, post, e-mail, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party.

7.1 Illegality/Adult Content
Filebox neither sanctions nor permits site content or the transmission of data that contains illegal or obscene material or fosters or promotes illegal activity, including but not limited to, gambling, the offering for sale of illegal weapons, crimes.
Filebox reserves the right to immediately suspend or terminate any account or transmission that violates this policy, without prior notice.
Further, should Customer violate this policy, Filebox will actively assist and cooperate with law enforcement agencies and government authorities in collecting and tendering information about Customer, Customer's site, the illegal or obscene content, and those persons that may have inappropriately accessed, acquired, or used the illegal or obscene content.

7.2 Wrongful Conduct
Customer shall not commit or permit wrongful or damaging acts which justify civil action including, but not limited to, posting of defamatory, scandalous, or private information about a person without their consent or intentionally inflicting emotional distress.

7.3 Access and System Abuse
Violations or attempts to violate Filebox systems or to interrupt Filebox services are strictly prohibited, and may result in criminal and civil liability. Examples of system violations include, without limitation:
a) Unauthorized access to or use of Filebox Services, including any hacking attempt to probe, scan or test the vulnerability of a system or to breach security or authentication and identification of users; b) Abuse of the Filebox services including but not limited to: flooding, deliberate attempts to overload a system, other attacks; c) Use of any device, software, or routine to interfere or attempt to interfere with the proper working of the Filebox Services; d) Any action that imposes an unreasonable or disproportionately large load on Filebox's system (infrastructure).
Customer shall not decompile, disassemble, decrypt, extract, reverse engineer or otherwise attempt to obtain or derive the source code of the Filebox services or any other element that belongs to Filebox.

7.4 Copyright or Trademark Infringement.
Filebox Services may be used only for lawful purposes. Transmission, distribution or storage of any material in violation of any applicable law or regulation, including import-export control laws, is prohibited. This includes but are not limited to: material protected by patent, copyright, trademark, service mark, trade secret or other intellectual property rights. If the Customer uses another party's material, the Customer must obtain prior authorization. By using the Filebox Services, the Customer represents and warrants that the Customer is the author and copyright owner and/or proper licensee with respect to any hosted content and the Customer further represents and warrants that by using the data in any way (storage, accessing, sharing to another person) does not violate. Filebox reserves the right to suspend or terminate a Customer's transmission(s) that, in Filebox's discretion, violates these policies or violates any law or regulation..

7.5 Misuse of System Resources
Customer shall not misuse system resources including, but not limited to: uploading data/files which consume excessive CPU time or storage space in Filebox; utilizing excessive bandwidth from the Filebox conection to the Internet; or resale of access to content hosted on Filebox servers.

7.6 Other Activities
Whether an action of an User or entity is lawful or unlawful, Filebox reserves the right to determine if an action is harmful and to protect its system, Users, operations and reputation to its Customers, operations or reputation, by means which include (but are not limited to): cancel any action or transmission of an User interacting with Filebox services, deleting of data posted by User, cancel of the User account or denial of acces to Filebox website. If appropriate, Filebox will refer complaints to law enforcement authorities about the entity which tried or succeeded to harm Filebox, and in such case, Filebox will actively assist law enforcement agencies with the investigation and prosecution of any such activities. If necessary, Filebox may surrender Customer account and data information available upon using Filebox services.
Complaints about violators of Filebox Policy should be sent via e-mail to abuse@filebox.ro. Each complaint will be investigated and may result to immediate cancellation/elimination of elements/data/Services from Filebox without prior notice to Users.

8. No Warranty

Tha User expressly understand and agrees that: a) your use of the Filebox Service is at your sole risk. Filebox Services are provided on an "as is" and "as available" basis. Filebox and its suppliers, to the fullest extent permitted by law, disclaim all warranties of services or website content. Filebox and its suppliers make no warranties about the accuracy, authenticity, reliability, completeness, or timeliness of Filebox Services, or any software developed for using Filebox services, or content; b) Filebox makes no warranty that i) the Service will meet User's needs/requirements ii) the service will be uninterrupted, timely, secure, or error-free, iii) the results that may be obtained from the use of the Filebox services will be accurate or reliable, iv) the quality of any products, services, data or information, or other material purchased or obtained by the User free or payed through the Filebox Services will meet User's needs/expectations, and v) any errors in the software will be corrected; d) any material downloaded or otherwise obtained through the use of the Filebox Services is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any harmful material; e) no advice or information, whether oral or written, obtained by you from Filebox or through or from the Filebox Service shall create any warranty not expressly stated in these terms and conditions.

9. Indemnity

The User agrees to defend, indemnify, and hold harmless Filebox, its affiliates, officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal fees, alleging or resulting from your use the Filebox Service, or your breach of this Agreement or other Filebox policies, terms and conditions..

10. Limitation of Liability

The User uses Filebox at his/hers own risk. If the User is dissatisfied with any aspect of Filebox Services or with these Terms and Conditions, or any other rules or policies imposed to use Filebox, then the option of continuing the use of Filebox is solely User's choice, Filebox recommends to these Users to discontinue the use of Filebox Services. The User expressly understands and agrees that Filebox shall not be liable for any direct, indirect, incidental, special, consequential exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, resulting from: i) the use or the inability to use the Filebox Service; ii) unauthorized access to or alteration of User's transmissions or data iii) statements or conduct of any third party on the Filebox service; iv) any other matter relating to the Filebox Service.

11. Modifications to Agreements, Policies or to Filebox Services

We reserve the right to change this Terms of Use at any time without notice. We also reserve the right at any time to modify or discontinue one or more Filebox Services, temporarily or permanently, with or without public notice. User agrees that Filebox shall not be liable to User or any third party for any modification, suspension or discontinuance of one or more Filebox Services. User agrees that from the moment he/she starts to use Filebox services, the services may be changed/modified partial or in total and some restrictions of cuntionality or complete elimination of some Service may occur. Further, be noticed that Filebox may charge the use of services which were free, or may change the fees for using the services, without prior notice to the public. The change of fees will come into effect after finishing a prepaid period where is the case (for free services, the fee for using the services may come into effect immediately, without notice).

12. Suspend or Termination.

12.1 Without limiting other remedies, Filebox may immediately issue a warning, suspend, lock out access and operation of Services for Customer either temporarily or indefinitely, or terminate Customer's account and refuse to provide Filebox Services to Customer if: a) Filebox believes that Customer have violated or acted inconsistently with this Terms of Use, or any of Filebox policies; b) Customer have failed to pay fees or other payments due to Filebox; c) Filebox is unable to verify or authenticate any information Customer provides to Filebox; d) Filebox believes that Customer's actions may cause legal, material or infrastructure liability for Customer, Filebox's other clients, or Filebox
Filebox may also in its sole discretion and at any time discontinue providing the Filebox Service, or any part thereof, with or without notice.
User agrees and accepts that Filebox may immediately deny its access to the Filebox Services or deactivate, archive or delete User's account and all related information and data and/or any further access to such data or the Filebox Service. Further, User agrees that Filebox shall not be liable to User or any third-party for any termination of User access to the Filebox Service.
Upon termination of this Agreement by either Customer or Filebox, all of Customer rights under this Terms and Conditions, and Filebox's provision of Services, will terminate immediately.

12.2 The Sections 6 ("Customer Data"), 8 ("No Warranty"), 9 ("Indemnity"), 10 ("Limitation of Liability") and this Section 12, will survive any termination of this Agreement between Filebox and User.

13. Filebox Confidential Information

He/she who reads, whether accepts or not this Terms and Conditions, understands and warrants that: a) it is not a competitor of Filebox; b)shall not publish or reveal informations of any material or element property of Filebox prior to public launch; c) shall not use any information gained from access to the Filebox Web site or use of the Filebox Services to compete with Filebox in its business
